Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of Sage ("Service"), an AI-powered content pipeline operated by Agile Evolutions ("Sage," "we," "our," or "us"), a company incorporated under the laws of Canada. By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Sage helps you draft, evaluate, and publish written content using large-language-model assistance. The Service includes web-based tools for editing, scoring, and optimizing content, plus optional integrations with third-party platforms such as LinkedIn, Twitter (X), and Substack for publishing.

We may add, modify, or remove features at any time. We will use reasonable efforts to give notice of material reductions to paid-tier features.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent that you meet this requirement and that any information you provide is accurate.

4. Accounts

Account authentication is provided by Clerk, Inc. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@getqatalyst.com if you suspect unauthorized access.

5. Subscriptions and Billing

Sage offers a Free tier and paid Creator and Pro tiers. Paid subscriptions are billed monthly or annually in advance via Stripe, Inc. ("Stripe"). By subscribing, you authorize us (through Stripe) to charge the payment method you provide for the recurring subscription fee and any applicable taxes.

Prices are displayed in U.S. dollars on the Pricing page unless otherwise noted. We may change prices on at least 30 days' notice, given by email or in-product notification. If you do not accept a price change, you may cancel before it takes effect.

Subscriptions renew automatically at the end of each billing period unless you cancel. Cancellation takes effect at the end of the current billing period; you continue to receive access until then.

6. Free Trial

Paid subscriptions begin with a 14-day free trial. You will not be charged until the trial period ends. You may cancel during the trial through the Stripe Customer Portal (accessible via Settings) to avoid any charge. If you do not cancel, your subscription will convert to a paid subscription at the published price.

The 14-day money-back guarantee described in our Refund Policy applies separately to the first paid charge after the trial — so you have up to 28 days from signup to evaluate Sage at no net cost (14 days of trial plus 14 days of refund eligibility after the trial ends).

9. Your Content

You retain all rights to content you create or upload through the Service ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, process, and display Your Content solely to provide the Service to you. We do not use Your Content to train AI models and do not use it for any purpose unrelated to operating the Service for you, except as described in the Privacy Policy.

You represent that Your Content does not infringe any third-party right and that you have the legal right to submit it.

10. AI-Generated Output

Sage uses large-language-model services (currently Anthropic, OpenAI, and others) to generate suggestions, evaluations, and content optimizations. AI output is probabilistic and may be inaccurate, biased, or unsuitable for your purpose. You are responsible for reviewing AI output before publishing or relying on it. We do not guarantee that AI output is accurate, complete, or fit for a particular purpose.

11. Third-Party Services

The Service integrates with third-party platforms including but not limited to LinkedIn, Twitter (X), Substack, Stripe, Clerk, Anthropic, OpenAI, fal.ai, Cloudflare, Sentry, and Railway. Use of these integrations is governed by the relevant third party's terms and privacy policies. We are not responsible for third-party services or the consequences of your use of them.

12. Termination

You may terminate your account at any time by canceling through the Stripe Customer Portal (for paid tiers) or by contacting support. We may suspend or terminate your account for material breach of these Terms, non-payment, or extended inactivity, with notice where practicable. On termination, your access to the Service ends; we may delete account data after a reasonable retention period described in the Privacy Policy.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and availability. We do not warrant that the Service will be uninterrupted or error-free.

14. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100). In no event will we be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility.

Nothing in these Terms limits liability that cannot be limited by applicable law, including liability arising from gross negligence, wilful misconduct, fraud, or any liability that cannot be excluded under consumer-protection law in your jurisdiction.

15. Indemnification

You agree to indemnify and hold Agile Evolutions and its officers, directors, employees, and contractors harmless from any claim, loss, or damage (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your infringement of any third-party right.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by email or in-product notification at least 14 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising from or relating to these Terms or the Service, subject to any mandatory consumer-protection law of your jurisdiction.

18. General

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Agile Evolutions regarding the Service and supersede any prior agreements.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

Force majeure. Neither party is liable for failure or delay caused by events beyond reasonable control, including but not limited to outages or actions of third-party service providers (Stripe, Clerk, Anthropic, Railway, Cloudflare, and others), acts of government, civil disturbance, or natural disaster.

Beta features. Features marked "beta," "preview," or "early access" are provided without warranty or service-level commitment and may change or be removed at any time.
